amp under seat?

im running out of room for audio equipment im my 1989 regular cab ranger, i currently have 2 6x9's behind the seat and i am putting a 10" shallow mount sub with custom enclosure. one idea for amp placement that i had was to mount it under my seat. i still have the stock bench seat in my truck. i wanted to know if there are any problems with this or if any one has any comments on this idea.
 
bolt it to the roof. ive never seen that before.
 
I'm not an audio guy but I wanna get to where you are but from what I've read, under the seat is common but like craveman85 said it needs ventilation. I was thinking about doing 2 12's, one behind each seat and have the amp in the middle, but now I'm thinking of 4 10's or 2 12's and 2 8's but if I did that I would have the same problem you have so my suggestion would be to mount it in the middle behind the seat
