Replacement M50D-R1. . .compatibility???

Just wanna do a quick double check before I pull the trigger on purchasing a replacement transmission. . .

I have a '99 4WD 4.0L OHV with the 5-spd. manual. . .I lost 5th gear on it; I have found a pretty good deal on a replacement 5-spd. manual out of a 2001 4WD 3.0L. . .I know the 1st and 2nd gear ratios are a little different, but other than this is a compatible swap correct?

I'm not familiar with the years you quote, however I believe the bellhousing bolt pattern is different between the two. If you are changing internals, I think it's possible but have no personal experience.
 
Correct, the 4.0L and 3.0L have a different bell pattern (will not swap). The internals can be swapped (1st, 2nd & 3rd ratios are a bit shorter on the 3.0L trans).
