Some of the later model oil pans had a good size hole in the side for a low level sensor. I'm not sure if that is the difference or if its a difference in the timing cover area. I dont think there is any difference in the rear main seal area or the block bolt pattern.
From some more research it appears that they are very similar, but there would need to be some minor mods to swap them either way. The main difference is the low oil level sensor hole in the side of the pan. The 2.8's have small hooptie in the pan rail and 2.9 is straight, but its so slight I think it would go either way.
You can see it in the 3 piece pan gasket sets.
The 2.9's have bunch of dimples to prevent gasket crush.
