repainting the frame

I found a 96 ranger 4x4 but the frame is a bit rusty. I had a friend go check it out in connecticuit over the weekend and he told me it was a little rusted but the body looked good. They want 5500 for it (its only got 60k on it) but I dont really wanna pay that much seeing as it isnt in the excellent condition they say its in. Should i try to get them to take 4k for it and grind the frame, repaint it, and rhino line it?
