i have a 94 4.0 xlt, 4x4 and the rear cat flange is rotted off. the cat looks in really poor shape. i dunno if i can weld to it.... is it legal for the vehicle owner to replace the cat? i am not talking about removing/destroying it for obvious legal reasons. i need this to be emissions legal being my only means of transportation. i was told by a friend that the cat just has to be there and work, that it didn't matter who replaced it... is this correct? and what do i do with the old one?

Great. I think you can really weld that thing off. My uncle has a garage service & that's what he did. Anways, street-legal? I guess it depends on the state that you are in.
